1. INTRODUCTION

The XJ music workstation and XJ music playback engine are software that implements the patented XJ music system (“XJ”) for generating musical audio compositions, protected by US Patent Grant 10,446,126. This music software is intended for creating musical compositions for playback on a wide variety of devices.

XJ is founded on the core principle that music is human, enabling composers to realize new possibilities in dynamic music for video games. We seek to innovate what’s possible. XJ is a new algorithmic medium. We are building a new school of cutting-edge musicians who will put this system to work.

A commercial license for using the XJ music system to generate musical audio compositions in commercially distributed software (e.g., video games) and patent licenses for necessary patent claims for the XJ music system may be obtained through XJ Music Inc. (www.xjmusic.com).

Redistribution and use in source and binary forms, with or without modification, are permitted without payment of copyright license fees, provided that you satisfy the following conditions:

You must retain the complete text of this software license when redistributing the XJ music system or your modifications in source code form.

You must retain the complete text of this software license in the documentation and other materials provided with redistributions of the XJ music system or your modifications thereto in binary form. You must make available free-of-charge copies of the complete source code of the XJ music system and your modifications thereto to recipients of copies in binary form.

“XJ music” is a registered trademark of XJ Music Inc. The name of XJ music may not be used to endorse or promote products derived from this software without prior written permission.

You may not charge copyright license fees for anyone using, copying, or distributing the XJ music system software or your modifications thereto.

Your modified versions of the XJ music system must carry prominent notices stating that you changed the software and the date of any change. For modified versions of the XJ music system, the term “XJ music system” must be replaced by the term “Third-Party Modified Version of the XJ music system.”

3. NO PATENT LICENSE

NO EXPRESS OR IMPLIED LICENSES TO ANY PATENT CLAIMS, including without limitation the patents of XJ Music Inc., ARE GRANTED BY THIS SOFTWARE LICENSE. XJ Music Inc. provides no warranty of patent non-infringement concerning this software.

You may use this XJ music system software or modifications thereto only for purposes authorized by appropriate patent licenses.

4. DISCLAIMER

XJ Music Inc provides this XJ music system software on behalf of the copyright holders and contributors “AS IS” and WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. IN NO EVENT SHALL THE COPYRIGHT HOLDER OR CONTRIBUTORS BE LIABLE for any direct, indirect, incidental, special, exemplary, or consequential damages, including but not limited to procurement of substitute goods or services; loss of use, data, or profits, or business interruption, however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence), arising in any way out of the use of this software, even if advised of the possibility of such damage.

End-User License Agreement (EULA) for the XJ music workstation

This End-User License Agreement (“EULA”) is a legal agreement between you (either an individual or an entity) and XJ Music Inc., regarding the use of the “XJ music workstation” software (“the Software”). Please read this agreement carefully before using the Software.

1. License Grant

XJ Music Inc. grants you a non-exclusive, non-transferable, limited license to use the Software in accordance with the terms and conditions of this EULA.

2. Permitted Usage

2.1 You may use the Software for personal, commercial, or educational purposes.

2.2 You may install and use the Software on a single computer or device.

3. Restrictions on Use

3.1 You may not sublicense, sell, rent, lease, or distribute the Software.

3.2 You may not modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software.

4. Intellectual Property Rights

4.1 The Software is protected by copyright and other intellectual property laws and treaties.

4.2 You acknowledge that all rights, title, and interest in and to the Software and any modifications, enhancements, or derivatives thereof are owned exclusively by XJ Music Inc.

5. Updates and Support

5.1 XJ Music Inc. may provide updates, bug fixes, and support for the Software at its discretion.

5.2 You are encouraged to regularly check for updates to the Software and install them to ensure optimal performance.

6. Privacy and Data Collection

6.1 The Software may collect certain information necessary for its operation and improvement. Please refer to the Privacy Policy for details on data collection and usage.

7. Termination

7.1 This EULA is effective until terminated.

7.2 XJ Music Inc. reserves the right to terminate this license at any time for any reason.

7.3 Upon termination, you must cease using the Software and destroy all copies of the Software in your possession.

8. Disclaimer of Warranty

8.1 The Software is provided “as is” without warranty of any kind, express or implied.

8.2 XJ Music Inc. disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

9.1 In no event shall XJ Music Inc. be liable for any damages arising out of the use or inability to use the Software.

9.2 XJ Music Inc. shall not be liable for any indirect, consequential, special, incidental, or punitive damages.

10. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts located in the United States and the State of California.

11. Entire Agreement

This EULA constitutes the entire agreement between you and XJ Music Inc. concerning the Software and supersedes all prior agreements and understandings.

By using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this EULA.
